1. Services Provided
   The Dispatcher agrees to arrange and dispatch car loads to the Carrier in accordance with the terms of this Agreement. The Dispatcher will secure load opportunities, communicate relevant load details, and provide administrative support for each load.
2. Commission
   The Carrier agrees to pay the Dispatcher a commission of 4% of the gross revenue for each load successfully delivered. The commission is based on the total amount paid to the Carrier for the load.
3. Payment Terms
   Payments to the Dispatcher shall be made within 3 days of the Carrier receiving payment for the load. The Carrier agrees to provide proof of payment to the Dispatcher upon request.
4. Duration and Termination
   This Agreement is effective as of the date first written above and shall continue until terminated by either party with 30 days’ written notice.
5. Non-Exclusivity
   This Agreement does not create an exclusive relationship between the Carrier and the Dispatcher. The Carrier is free to work with other dispatchers, and the Dispatcher is free to work with other carriers.
6. Liability
   The Dispatcher is not liable for any losses, damages, or delays caused by the Carrier or any third party. The Carrier assumes full responsibility for the operation of its vehicle(s) and for all liability arising from its operations.
7. Confidentiality
   Both parties agree to keep the terms of this Agreement and any confidential information disclosed during the course of the Agreement private and not disclose such information to any third party without prior written consent.
